Welcome to GigPro, a website builder platform operated by GigPro Live LLC ("GigPro," "we," "our," or "us"). By accessing or using our website builder platform and related services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

Beta Testing Notice: GigPro is currently in beta testing. By using the Service, you acknowledge that you are participating in a beta program where features may be incomplete, unstable, or subject to change without notice.

2. Description of Service

GigPro is a website builder platform designed for musicians, bands, and music professionals. The Service allows you to:

• Create and customize professional websites using a visual editor
• Publish content including text, images, videos, and event information
• Manage gigs, press materials, and mailing lists
• Connect custom domains to your published websites (feature in development)
• Accept payments and subscriptions (feature in development)

Beta Limitations: During the beta period, certain features may not be fully functional, and the Service may experience downtime or data loss. We are not liable for any issues arising from beta testing.

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 13 years of age to use GigPro. If you are under 18, you must have permission from a parent or legal guardian. By using the Service, you represent that you meet these age requirements.

3.2 Account Creation

To use GigPro, you must create an account by providing:

• Valid email address
• Secure password
• Accurate profile information

You are responsible for maintaining the confidentiality of your account credentials.

3.3 Account Responsibility

You are solely responsible for:

• All activity that occurs under your account
• Maintaining the security of your password
• Notifying us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use Policy

4.1 Permitted Use

You may use GigPro to create legitimate websites for musicians, bands, and music-related activities. You agree to use the Service in compliance with all applicable laws and regulations.

4.2 Prohibited Activities

You may NOT use GigPro to:

• Illegal Content: Upload or publish content that violates any law or regulation
• Harmful Content: Distribute malware, viruses, or malicious code
• Infringement: Upload content that infringes on intellectual property rights of others
• Harassment: Harass, threaten, or harm other users or third parties
• Spam: Send unsolicited commercial messages or abuse mailing list features
• Impersonation: Misrepresent your identity or affiliation with any person or entity
• Scraping: Use automated tools to scrape or harvest data from the platform
• Circumvention: Attempt to bypass security measures or access unauthorized areas
• Adult Content: Publish pornographic or sexually explicit material
• Hate Speech: Promote violence, discrimination, or hatred based on protected characteristics

4.3 Content Moderation

We reserve the right to review, remove, or refuse to publish any content that violates these Terms or is otherwise objectionable in our sole discretion.

5. Content Ownership and Licensing

5.1 Your Content

You retain all ownership rights to the content you create and upload to GigPro ("Your Content"). This includes:

• Text, images, videos, and audio files
• Website designs and customizations
• Event information, press materials, and other data

5.2 License to GigPro

By uploading Your Content to GigPro, you grant us a worldwide, non-exclusive, royalty-free license to:

• Store, process, and display Your Content as necessary to provide the Service
• Create backups and copies for operational purposes
• Deliver Your Content to visitors of your published website

This license terminates when you delete Your Content or close your account, except for content retained in backups (up to 90 days).

5.3 Third-Party Content

You are responsible for ensuring you have the necessary rights to use any third-party content (images, music, fonts, etc.) included on your website. GigPro is not responsible for copyright infringement claims arising from Your Content.

5.4 GigPro Platform Ownership

The GigPro platform, including all software, designs, templates, trademarks, and branding, is owned by GigPro and protected by intellectual property laws. You may not copy, modify, or distribute our platform without written permission.

6. Payment and Subscription Terms

6.1 Beta Pricing

During the beta period, GigPro may be offered for free or at discounted pricing. We reserve the right to change pricing at any time with 30 days' notice to active users.

6.2 Paid Plans (When Available)

When subscription plans are introduced:

• Billing: You will be charged on a recurring basis (monthly or annually) based on your selected plan
• Payment Processing: Payments are processed securely through Stripe
• Auto-Renewal: Subscriptions automatically renew unless you cancel before the renewal date
• Refunds: Refunds are provided at our discretion on a case-by-case basis

6.3 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

• You retain access until the end of your current billing period
• No refunds are provided for partial billing periods (unless required by law)
• Your published website will be unpublished after your subscription ends

6.4 Non-Payment

If payment fails, we may suspend or terminate your account after reasonable notice. Your published website will be taken offline until payment is resolved.

7. Service Limitations and Disclaimers

7.1 Beta Testing Disclaimer

IMPORTANT: GigPro is in beta testing. The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied.

We do NOT guarantee:

• Uninterrupted or error-free operation
• Data integrity or absence of data loss
• Compatibility with all devices or browsers
• Availability of any specific feature
• Timely bug fixes or feature updates

7.2 Service Changes

We reserve the right to:

• Modify, suspend, or discontinue any feature at any time
• Change pricing, plans, or Service offerings
• Impose usage limits (storage, bandwidth, page views)
• Perform scheduled and emergency maintenance

We will provide reasonable notice of material changes when possible, but beta users acknowledge that changes may occur without warning.

7.3 Data Backups

While we maintain automated backups, you are responsible for maintaining your own backups of Your Content. We are not liable for data loss resulting from:

• Service outages or technical failures
• Account suspension or termination
• User error or accidental deletion
• Security breaches or unauthorized access

8. Termination

8.1 Termination by You

You may terminate your account at any time by:

• Using the account deletion option in your settings
• Contacting support at support@gigpro.live

Upon termination, your data will be deleted within 90 days (see Privacy Policy for details).

8.2 Termination by GigPro

We may suspend or terminate your account immediately if:

• You violate these Terms or our Acceptable Use Policy
• Your account is used for fraudulent or illegal activity
• You fail to pay subscription fees
• We are required to do so by law or court order
• We decide to discontinue the Service

We will provide notice when possible, but reserve the right to terminate without notice in cases of serious violations.

8.3 Effect of Termination

Upon termination:

• Your access to the Service will be immediately revoked
• Your published website will be unpublished
• Your data will be deleted according to our Privacy Policy
• Any outstanding fees remain due and payable

9. Limitation of Liability

9.1 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GIGPRO IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GIGPRO SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions, errors, or data loss
• Unauthorized access to or alteration of Your Content
• Third-party content, products, or services accessed through the platform

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO GIGPRO IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 (WHICHEVER IS GREATER).

9.3 Beta Testing Acknowledgment

BY PARTICIPATING IN THE BETA PROGRAM, YOU ACKNOWLEDGE AND ACCEPT THE RISKS ASSOCIATED WITH USING PRE-RELEASE SOFTWARE, INCLUDING BUT NOT LIMITED TO DATA LOSS, SERVICE INSTABILITY, AND INCOMPLETE FEATURES.

10. Indemnification

You agree to indemnify, defend, and hold harmless GigPro, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your Content or websites you create
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Any activity under your account, whether authorized or unauthorized

11. Copyright and DMCA

11.1 Copyright Policy

We respect intellectual property rights. If you believe content on GigPro infringes your copyright, please notify us at dmca@gigpro.live with:

• Description of the copyrighted work
• URL of the infringing content
• Your contact information
• Statement of good faith belief that use is unauthorized
• Statement under penalty of perjury that the information is accurate
• Your physical or electronic signature

11.2 Repeat Infringers

We will terminate accounts of repeat copyright infringers in accordance with the Digital Millennium Copyright Act (DMCA).

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the State of Vermont, United States, without regard to conflict of law principles.

12.2 Arbitration

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except that you may bring claims in small claims court if they qualify.

12.3 Class Action Waiver

You agree to resolve disputes with GigPro on an individual basis only. You may not bring claims as a plaintiff or class member in any class or representative action.

13. Miscellaneous

13.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms for specific features, constitute the entire agreement between you and GigPro.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

13.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

13.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.

13.5 Notices

We may provide notices to you via email to your registered email address or by posting on the platform. You are responsible for keeping your email address current.

13.6 Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via:

• Email notification to registered users
• Notice on the platform
• Update to the "Last Updated" date

Your continued use of the Service after changes constitutes acceptance of the updated Terms.
